1. About Next Layer Sports
Next Layer Sports ("NLS", "we", "us") is a software platform operated by Next Layer AI LLC, a Michigan limited liability company ("Next Layer AI"). These Terms of Service ("Terms") govern access to and use of NLS by sports Organizations (clubs, academies, and similar operators) and by the Admins, Coaches, Parents/Guardians, and other individuals who use NLS on an Organization's behalf or in connection with an Organization.
2. NLS is a platform, not a sports provider
Next Layer AI provides the NLS software platform only. Independent Organizations -- not Next Layer AI -- provide the Programs, Training, practices, coaching, and other sports activities offered through NLS. Next Layer AI is not a club, academy, coach, trainer, league, or physical sports provider, and is not a party to the sports services an Organization provides to its Players and families.
3. Accounts and roles
Access to Organization data is role-based. Each Organization has one Owner. Owners and Admins manage its Programs, Groups/Teams, Training, rosters, family memberships, Coaches, payments and settings; only the Owner manages Admins and staff roles, the Organization's name and logo, its billing and Stripe connection, and transfers ownership. Coaches see the Groups and Sessions assigned to them. Parents/Guardians register and manage Players in their care. One person may hold both a family role and a staff role. You are responsible for keeping your account credentials secure and for activity that occurs under your account.
4. Deleting your account
You may delete your account at any time from Settings, confirmed by a one-time code sent to your email. An Owner must first transfer their Organization to another of its staff members (an Admin or Coach). Deletion removes your profile and sign-in, your Guardian relationships and your staff roles, and cancels your pending requests; records that belong to an Organization (registrations, bookings, payments and refunds, Team Chat messages you sent, invitations you issued, roster history) remain with that Organization and refer to a "Former member". A Player who loses their only Guardian stays with every Organization that has a record of them, current or archived, until a new Guardian is invited; a Player who was never part of an Organization and has no pending request to join one is deleted with your account. Deletion cannot be undone.
5. Minors and Guardian data
Player records may concern minors, including children under the age of 13. NLS does not currently offer direct accounts for Players; Player information is provided and managed through a Parent/Guardian or an authorized Organization. Where a Player is a minor, an Organization enrolling that Player is responsible for obtaining any consent required under applicable law. A Player's information is visible to the Player's Guardians and to the Organization(s) the Player belongs to.
6. Guardian authority
A Parent/Guardian who creates a Player relationship, accepts a Guardian invitation, or requests access to an existing Player must affirm that they are the Player's parent or legal guardian, or are otherwise authorized to act on the Player's behalf. This affirmation is a representation made to us by the affirming individual; it does not itself establish or transfer any legal custody, guardianship, or parental right.
7. Organization authority
An Organization Owner or Admin who adds a Player to NLS -- including without a linked Guardian -- represents to us that the Organization has lawful authority and appropriate permission to provide and manage that Player's information. An Organization Owner or Admin creating a Player record is not, by itself, Guardian consent, and does not substitute for any consent the Organization is required to obtain under applicable law.
8. Program registration and payments
When a Parent/Guardian registers a Player for a Program or books Training, the sports service is provided by the Organization offering it, not by Next Layer AI, and the associated payment relationship (registration fees, Training fees) is between the Parent/Guardian and that Organization. Separately, an Organization may pay Next Layer AI for its own subscription to use the NLS software platform. These are distinct relationships: Next Layer AI does not sell, and is not a party to, the Program or Training service itself. Online payments are processed by Stripe into the Organization's own connected Stripe account; NLS may retain a platform fee from each online payment as agreed with the Organization. An Organization may also record a payment it received outside NLS (cash, check, complimentary). NLS does not store full payment card details.
9. Refunds and cancellations
Eligibility for refunds or cancellations of a Program or Training booking is generally determined by the Organization providing that sports service, subject to applicable law. Next Layer AI may facilitate payment processing on the Organization's behalf but does not itself set or guarantee any Organization's refund or cancellation terms. A refund an Organization issues through NLS is returned to the original payment method or recorded as paid back outside NLS; when the Organization cancels a Session, a paid registration or a paid booking, it decides on the refund and the family is notified.
10. Training and scheduling
Training sessions, schedules, and Locations are set by each Organization. NLS provides tools to plan Training and record Attendance, but is not responsible for the conduct of Training sessions themselves.
11. Team Chat and notifications
Team Chat is a conversation per Group between the Guardians of the Group's Players and the Organization's staff (its Owner, Admins and the Coaches assigned to the Group). Messages are visible to everyone in the conversation and remain in it after a participant leaves or deletes their account. Do not post content that is unlawful, abusive, or unrelated to the Organization's activities. NLS delivers in-app and email notifications about your registrations, bookings, payments, membership and Organization activity; you can turn some categories of email off from Settings as described in the Privacy Policy.
12. Acceptable use
You may not use NLS to access data outside your authorized role, to misrepresent an Organization or your authority to act on a Player's behalf, to send unsolicited or automated messages through our public forms, or to interfere with the platform's security or availability. Our public forms are protected by rate limits and may use Cloudflare Turnstile to tell people from automated traffic.
13. Suspension and termination
We may suspend or terminate an account or an Organization's access to NLS for violation of these Terms, fraud or abuse, unauthorized claims of Guardian or Organization authority over a Player, security concerns, illegal activity, or, where applicable, nonpayment of Organization subscription fees owed to Next Layer AI.
14. Disclaimer of warranties
NLS is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, except where such disclaimers are not permitted by applicable law.
15. Limitation of liability
To the maximum extent permitted by applicable law, Next Layer AI will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of NLS. To the maximum extent permitted by applicable law, Next Layer AI's aggregate liability arising out of or relating to these Terms or NLS is limited to the greater of (a) $100, or (b) the amounts paid directly to Next Layer AI by the claimant for its own NLS subscription during the 12 months preceding the claim. This limitation does not include, and is not calculated based on, any amounts a Parent/Guardian or other individual has paid to an Organization for a Program or Training service. Nothing in these Terms excludes or limits liability that applicable law does not permit to be excluded or limited.
16. Indemnification
An Organization agrees to indemnify and hold harmless Next Layer AI from claims arising out of, among other things, the Organization's sports services and activities, its unlawful conduct, its violation of these Terms, or its representations regarding its lawful authority to manage Player data. Individual users are responsible for their own misuse of NLS or violation of these Terms.
17. Governing law and venue
These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or NLS will be brought exclusively in the state or federal courts located in Michigan, and you consent to the personal jurisdiction of those courts.
18. Changes to these Terms
We may update these Terms from time to time. When the changes are material, account holders are asked to accept the updated Terms when they next sign in, and must accept them before taking actions in the platform, including using Team Chat and joining, registering or booking. Until then they can still read their information, sign out, leave an Organization or delete their account, and public pages remain readable.
